Please read these Terms and Conditions carefully. By purchasing, subscribing to or using our software and services, you confirm that you have read, understood and accepted these Terms. These Terms form a contract between you (the business or person purchasing) and Ray Harding trading as Small Garage Software ("we", "us", "our").

1. The licence

On taking out and maintaining an active subscription, we grant you a non-exclusive, non-transferable, limited licence to use Small Garage SG1 and related services (the "Software") in accordance with these Terms. The licence is tied to the registration/serial issued for your subscription.

2. Permitted use

You may use the Software within a single company or entity — whether operating as a sole trader, partnership or limited company — for which a subscription has been purchased and registered against that company or entity's name. If the Software is required for a different company or entity, a separate subscription must be taken out and registered against that new company or entity.

3. Purchaser, capacity and authority

The subscription is entered into with the purchaser in the legal capacity in which it is bought, and the account and licence are registered on that basis.

• If you buy as a sole trader (that is, not through a limited company, LLP or other incorporated body), the contract is with you as an individual, and the rights in the account and its data rest with you personally.
• If you buy for an incorporated entity (such as a limited company or LLP), the account and licence belong to that entity and may be administered by the representatives it appoints. You must keep us informed of who is authorised to act on the account.

Where a business that is not a separate legal entity (such as a sole trader) is later sold or transferred, ownership of the account does not pass automatically. If we are then asked to disclose data or act on instructions relating to that account and we cannot satisfactorily verify the identity or authority of the person making the request, we may require the original purchaser to confirm their identity through a notary or equivalent service, and to confirm their instructions, before we act.

We take our customers — and their customers — very seriously. We will not disclose the customer data you hold within the Software to any third party without an express request from the account holder, whose identity we have verified.

4. Subscription, billing and renewal

The Software is provided on a recurring subscription. Payments are taken by our payment processor, Square, using the card you register, at the price and billing frequency (for example monthly or annually) shown when you subscribe. Your subscription renews automatically each billing period until cancelled, and the then-current price applies to each renewal.

We keep you informed of upcoming charges according to your plan:

• On annual plans, we send a renewal notification around one month before your renewal is due, so you can review or cancel beforehand if you wish.
• On monthly rolling plans, we send a monthly invoice.
• On all plans, we notify you when the card we hold on file is due to expire, so you can update it and avoid any interruption to your service.

Your subscription includes access to the Software together with the support, updates and backups described at the point of sale.

5. Trials

Where a trial is offered, it is provided for evaluation only and for the period stated. A trial is your opportunity to test the suitability of the Software for your particular requirements before committing to a subscription. Unless you take out a subscription, access ends when the trial period expires.

6. Cancellation and non-payment

You may cancel your subscription at any time by contacting us; cancellation stops future renewals. Your access continues until the end of the period you have already paid for, after which it ends. If a payment fails or a subscription is not renewed, access to the Software may be restricted or suspended until payment is brought up to date.

7. Refunds and cancellation rights

The Software is digital content, supplied on a recurring subscription and made available for immediate access. By subscribing and then accessing or using the Software, you expressly consent to its supply beginning straight away and acknowledge that, where a statutory "cooling-off" cancellation period would otherwise apply, that right is lost once you have begun using the Software. A trial is available beforehand so you can test its suitability for your requirements. Accordingly, we do not issue refunds for periods already paid. You may cancel at any time to prevent future charges (see Cancellation above). Nothing in these Terms affects any rights you have that cannot be excluded by law.

8. Unauthorised use

You may not copy, redistribute, resell, rent, lend or otherwise make the Software available to any third party, modified or unmodified, on any medium, without our prior written consent.

9. Assignment

You may not sub-license, assign or transfer your licence or subscription to anyone else without our prior written consent.

10. Ownership and warranty

All intellectual property rights in the Software remain ours, and you may not claim any ownership of it, modified or unmodified. The Software is provided "as is", without warranty of any kind, express or implied. To the fullest extent permitted by law, we shall not be liable for any indirect, special, incidental or consequential loss, or for any loss of data, profits or business, arising out of the use of, or inability to use, the Software. Nothing in these Terms limits our liability where it cannot lawfully be limited.

11. Your data

We process personal data in accordance with our Privacy Policy, which forms part of your agreement with us. You remain responsible for the data you hold and process within the Software about your own customers.

12. Vehicle lookups and data export

Extended vehicle registration lookups are available from within Small Garage SG1 and are used by purchasing credits.

Because of the terms under which the underlying vehicle data is licensed to us, and to guard against misuse, the data obtained through these lookups may not be exported to a file or by any other means, except for a basic vehicle dataset comprising: registration, make, model, year, engine size and MOT expiry.

Extended details — such as engine numbers and VINs (vehicle identification numbers) — cannot be exported, owing to those licensing restrictions and the potential for misuse.

13. Backups

We include a backup service for our customers free of charge. We have found that some customers do not fully appreciate the implications of data loss, so we now provide this as a standard fallback at no cost.

All backups are encrypted and password-protected, and are transmitted only over secure connections. Backup data is accessible only through the application and by authorised Small Garage Software administrators — no one else has access to it.

Because it is provided free, as a safety net rather than a guarantee, we accept no liability for any loss of data. It does not replace your own arrangements, and we strongly encourage you to keep your own regular backups — for reference, your local backups are held in C:\SG2023\Backups.

14. Software updates and defects

No software is entirely free of bugs, and we do not claim ours is — from time to time you may encounter faults or unexpected behaviour. This is a normal part of software, and it is exactly what updates are for. We actively maintain Small Garage SG1 and release updates to correct issues and improve the product. We prioritise and address issues according to their severity and their impact on your use of the Software, when they are reported to us in a timely manner. So if you find a bug, please let us know promptly and we will look into it. Updates are included in your subscription.

15. Support and setup

We aim to set up new accounts and provide support during UK working hours (Monday to Friday, 8am to 4pm). New subscriptions are usually set up within the hour during those hours; please allow up to a maximum of 24 hours. If you have not heard from us within 24 hours, please call our support line on 01761 432123 and a member of staff will assist you.

16. Changes to these Terms

We may update these Terms from time to time. The current version will always be available on our website, and the date at the top shows when it was last updated. Continued use of the Software after a change takes effect means you accept the updated Terms.

17. Governing law

These Terms are governed by the law of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
