End User Licence Agreement
Small Garage Software — SG1 and connected services
Last updated: August 2026 • Version 2.0
IMPORTANT — READ CAREFULLY: This End User Licence Agreement ("EULA") is a legal agreement between you (either an individual or a single entity, referred to as "Customer") and Ray Harding trading as Small Garage Software ("Licensor") for the Small Garage software products described below, which include computer software, hosted services, and associated media and documentation (collectively, the "Software").
BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT INSTALL OR USE THE SOFTWARE.
1. GRANT OF LICENCE
Subject to the terms and conditions of this EULA, and to a valid subscription, Licensor grants Customer a non-exclusive, non-transferable licence to install and use the Software at Customer's business location for the operation of Customer's own vehicle repair and servicing business.
The number of simultaneous connections and user seats available to Customer is determined by Customer's subscription. Customer shall not exceed the entitlement of that subscription.
2. DESCRIPTION OF SOFTWARE
The Software comprises the following components. Not every Customer will use every component, and availability depends on Customer's subscription.
• SG1, the garage management application, installed on Customer's computers
• A Windows Service ("the sync service") that runs in the background, maintains Customer's local database, and connects Customer's installation to Licensor's hosted services
• A system tray application for service control and monitoring
• A web interface, accessible in a browser, providing access to Customer's own data
• Hosted services operated by Licensor, providing registration, subscription management, online booking, cloud backup, and coordination between Customer's installations
• Optional integrations with third-party accounting providers, as described in section 7
3. INSTALLATION AND SERVICE REGISTRATION
Customer acknowledges and agrees that:
• The Software installs files beneath C:\SG2023\ on Customer's computers
• The Software registers and runs a Windows Service
• The Software creates a system tray application that starts automatically with Windows
• Installation and service management require administrative privileges
• The Software creates log files on Customer's computers for diagnostic purposes
• The Software installs a security certificate into the computer's trusted certificate store so that connections between Customer's own machines are encrypted and verified
4. RESTRICTIONS
Customer shall not:
• Reverse engineer, decompile, or disassemble the Software
• Rent, lease, or lend the Software to third parties
• Transfer, sublicense, or assign the Software or this licence to any third party
• Remove or alter any copyright, trademark, or proprietary notices from the Software
• Use the Software for any purpose other than the operation of Customer's own business
• Attempt to circumvent, disable, or interfere with any licensing, subscription, or security mechanism
5. SUBSCRIPTION AND REGISTRATION
The Software is supplied on a subscription basis.
• The Software requires a valid Small Garage subscription to function
• Customer must provide valid registration credentials
• The Software periodically verifies subscription status with Licensor's hosted services
• Features will be restricted or disabled if the subscription lapses, expires, or is cancelled
• Trial installations operate under the same terms as this EULA for the duration of the trial
• Local data remains Customer's own and is not deleted by Licensor upon expiry
5.1 CANCELLATION. Customer may cancel their subscription at any time they choose.
Support and professional services from Small Garage Software require one month's notice. That notice requirement applies to support and professional services only, and does not affect Customer's ability to cancel the subscription at any time.
6. CUSTOMER DATA AND PRIVACY
• Customer's business data is and remains the property of Customer
• The Software stores Customer's data in an encrypted database on Customer's own equipment
• Customer is responsible for the physical security of the devices on which the Software is installed
• The Software transmits data to and from Licensor's hosted services over encrypted connections, for the purposes described in this EULA
• Customer data is handled in accordance with Small Garage Software's Privacy Policy, published at the address in section 20
• Log files may contain technical diagnostic information
CLOUD BACKUP. Where Customer's subscription includes cloud backup, copies of Customer's database are transmitted to and stored on Licensor's hosted services so they can be restored on Customer's instruction. Customer remains responsible for retaining their own copies where they consider it appropriate.
7. THIRD-PARTY ACCOUNTING INTEGRATIONS
The Software can transfer Customer's sales and purchase records to third-party accounting services, including Xero, Sage Business Cloud Accounting, and QuickBooks Online ("Accounting Providers"). This section governs that use.
7.1 CUSTOMER AUTHORISATION. No data is transferred to any Accounting Provider unless Customer has connected that provider and authorised the connection through that provider's own consent process. Customer may disconnect at any time, either from within the Software or from within the Accounting Provider's own service, after which no further data is transferred.
7.2 WHAT IS TRANSFERRED. Only records Customer selects for transfer are sent. These may include customer and supplier details, invoices, credit notes, receipts, bills, and payments, together with the associated amounts, dates, tax rates, and account codes recorded against them.
7.3 THE CUSTOMER'S ACCOUNTS REMAIN THE CUSTOMER'S RESPONSIBILITY. The Software transfers records at Customer's instruction. It does not prepare, review, or verify Customer's accounts, and it does not provide accounting, bookkeeping, or tax advice. Customer is responsible for the accuracy and completeness of their own accounting records, for verifying the records transferred, and for their own statutory filings and tax returns. Customer should satisfy themselves that transferred records are correct before relying on them.
7.4 MAPPINGS AND SETTINGS ARE THE CUSTOMER'S. Account codes, tax rates, and similar settings that determine where records are placed within the Accounting Provider are configured by Customer or on Customer's instruction. Licensor is not responsible for records placed incorrectly as a result of those settings.
7.5 THE ACCOUNTING PROVIDERS ARE INDEPENDENT. Each Accounting Provider is a separate company operating its own service under its own terms and privacy policy. Licensor does not control those services, is not responsible for their availability, behaviour, or charges, and is not a party to Customer's agreement with them. Customer's use of an Accounting Provider is subject to that provider's own terms.
7.6 PROVIDER PERMISSIONS AND SUBSCRIPTIONS. Whether a particular record can be transferred may depend on the access rights of the account Customer connects, and on Customer's subscription with that provider. Where a provider refuses a record for those reasons, that is a matter between Customer and the provider.
8. INTERNET CONNECTION
• The Software requires an active internet connection for features that depend on Licensor's hosted services or on third-party services
• Customer is responsible for internet service costs and connectivity
• The Software listens on a local network port for connections from Customer's own machines
• Firewall configuration may be required
9. AUTOMATIC UPDATES
• The Software may check for and notify Customer of available updates
• Updates are provided at the sole discretion of Licensor
• Customer may be required to install updates to maintain compatibility with Licensor's hosted services or with third-party services
10. OWNERSHIP
The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant Customer any rights to trademarks, service marks, or trade names of Licensor or of any third party named in it.
11. WARRANTY DISCLAIMER
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET CUSTOMER'S REQUIREMENTS OR THAT OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAY HARDING TRADING AS SMALL GARAGE SOFTWARE SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS DATA, LOSS OF BOOKINGS, LOSS OR CORRUPTION OF ACCOUNTING RECORDS, FINANCIAL LOSS, OR ANY OTHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, EVEN IF RAY HARDING TRADING AS SMALL GARAGE SOFTWARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CUSTOMER USES THE SOFTWARE ENTIRELY AT THEIR OWN RISK. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH THE CUSTOMER.
NOTHING IN THIS EULA EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER THE LAWS OF ENGLAND AND WALES.
13. TERM AND TERMINATION
This EULA is effective until terminated. Customer may terminate this EULA at any time by uninstalling and destroying all copies of the Software. This EULA will terminate automatically if Customer fails to comply with any term or condition of it. Upon termination, Customer must immediately cease all use of the Software and destroy all copies. Termination does not of itself disconnect Customer's Accounting Providers; Customer should disconnect those separately if they wish.
14. UNINSTALLATION
Customer may uninstall the Software at any time through Windows Control Panel or the provided uninstaller. Uninstallation will:
• Stop and remove the Windows Service
• Remove the Software's program files
• Remove the system tray application from startup
• Preserve Customer's own data, configuration, and log files, which Customer may delete manually if desired
15. SUPPORT AND MAINTENANCE
• Technical support is provided subject to Customer's active subscription
• Support is provided via email or telephone during business hours
• Licensor is not obligated to provide updates, upgrades, or bug fixes
• Maintenance and updates are provided at Licensor's sole discretion
16. GOVERNING LAW
This EULA shall be governed by and construed in accordance with the laws of England and Wales. Any legal action or proceeding relating to this EULA shall be brought exclusively in the courts of England and Wales.
17. ENTIRE AGREEMENT
This EULA constitutes the entire agreement between Customer and Licensor concerning the Software and supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Software or any other subject matter covered by this EULA.
18. SEVERABILITY
If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
19. NO WAIVER
The failure of Licensor to enforce any right or provision in this EULA shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Licensor in writing.
